IP Due Diligence Investigations Basically the purpose of due diligence is to establish whether to go ahead with the transaction at all, and if so, on what terms. Due diligence should ensure that: The purchaser is fully informed before taking a final decision; The IP is priced correctly given all available information; and The risk is evenly distributed between the buyer and the seller. Due Diligence The due diligence in most issues should start before any agreements have been begun. When the situation warrants, a purchaser should conduct at least very basic due diligence to determine whether to invest the time and effort in strating negotiations in the first place. This may involve some background investigation on the other party to the transaction, research of the markets involved and operators in those markets, and a few fast title searches on the specific IP in question. During complicated negotiations, the parties may enter into an agreement. |
